By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.

Agents2Automate provides WhatsApp Business Platform automation services, including but not limited to:
- WhatsApp Business API integration and setup
 - AI-powered chatbot development and deployment
 - Automated customer communication solutions
 - Inventory management integration
 - Workflow automation and system integrations
 - Analytics and reporting services
 - Technical support and maintenance
 
3. Account Registration and Eligibility
3.1 Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts. By using our services, you represent and warrant that you meet these requirements.
3.2 Account Information
You agree to:
- Provide accurate, current, and complete information during registration
 - Maintain and promptly update your account information
 - Maintain the security of your account credentials
 - Notify us immediately of any unauthorized access
 - Accept responsibility for all activities under your account
 
3.3 Business Verification
For WhatsApp Business API access, you must complete Meta's business verification process and comply with all WhatsApp Business requirements.
4. WhatsApp Business Platform Compliance
4.1 WhatsApp Terms
You agree to comply with:
- WhatsApp Business Terms of Service
 - WhatsApp Business Policy
 - WhatsApp Commerce Policy
 - Meta Platform Terms and Policies
 
4.2 Prohibited Uses
You may not use our services to:
- Send spam or unsolicited messages
 - Violate any applicable laws or regulations
 - Infringe on intellectual property rights
 - Distribute malware or harmful content
 - Engage in fraudulent or deceptive practices
 - Harass, abuse, or harm others
 - Impersonate any person or entity
 - Interfere with or disrupt our services
 
4.3 Message Content
You are solely responsible for:
- All message content sent through your WhatsApp Business Account
 - Obtaining proper consent from message recipients
 - Complying with anti-spam and marketing regulations
 - Ensuring content accuracy and appropriateness
 
5. Service Fees and Payment
5.1 Pricing
Service fees are based on your selected plan and usage volume. Current pricing is available on our website or by contacting our sales team.
5.2 Payment Terms
- Fees are billed monthly or annually as specified in your plan
 - Payment is due upon receipt of invoice
 - Late payments may incur interest charges
 - We accept major credit cards and bank transfers
 
5.3 WhatsApp Conversation Charges
WhatsApp conversation charges are billed separately by Meta. You are responsible for these charges, which are based on your message volume and pricing tier.
5.4 Refunds
Fees are non-refundable except as required by law or as explicitly stated in your service agreement.
6. Service Level and Availability
6.1 Uptime
We strive to maintain 99.9% uptime for our services, excluding scheduled maintenance and circumstances beyond our control.
6.2 Maintenance
We may perform scheduled maintenance with advance notice. Emergency maintenance may be performed without notice.
6.3 Service Modifications
We reserve the right to modify, suspend, or discontinue any aspect of our services with reasonable notice.
7. Intellectual Property
7.1 Our Property
All rights, title, and interest in our services, including software, algorithms, AI models, and documentation, remain our exclusive property.
7.2 Your Content
You retain ownership of your content. By using our services, you grant us a license to use, process, and store your content solely for providing our services.
7.3 AI Training
You grant us permission to use anonymized and aggregated data from your conversations to improve our AI models, unless you opt out.
8. Data Protection and Privacy
Our collection and use of personal information is governed by our Privacy Policy. You agree to comply with all applicable data protection laws when using our services.
8.1 Data Processing
We act as a data processor for customer data you collect through WhatsApp. You are the data controller and responsible for:
- Obtaining necessary consents from customers
 - Providing required privacy notices
 - Handling data subject requests
 - Complying with GDPR, CCPA, and other regulations
 
9. Warranties and Disclaimers
9.1 Service Warranty
We warrant that our services will perform substantially as described in our documentation.
9.2 Disclaimer
EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.3 AI Limitations
AI-powered features may not always be accurate or appropriate. You are responsible for reviewing and monitoring AI-generated content.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
 - OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
 - WE ARE NOT LIABLE FOR LOSSES CAUSED BY YOUR VIOLATION OF THESE TERMS OR WHATSAPP POLICIES
 - WE ARE NOT LIABLE FOR THIRD-PARTY ACTIONS OR SERVICES
 
11. Indemnification
You agree to indemnify, defend, and hold harmless Agents2Automate and its affiliates from any claims, damages, losses, and expenses arising from:
- Your use of our services
 - Your violation of these Terms
 - Your violation of any laws or third-party rights
 - Your message content and customer communications
 
12. Term and Termination
12.1 Term
These Terms remain in effect while you use our services.
12.2 Termination by You
You may terminate your account at any time with 30 days' written notice. You remain responsible for fees incurred before termination.
12.3 Termination by Us
We may suspend or terminate your access immediately if you:
- Violate these Terms or WhatsApp policies
 - Fail to pay fees when due
 - Engage in fraudulent or illegal activities
 - Pose a security risk
 
12.4 Effect of Termination
Upon termination:
- Your access to services will cease
 - Outstanding fees become immediately due
 - We may delete your data after 30 days
 - Provisions that should survive will remain in effect
 
13. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our relationship.
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of the United States, without regard to conflict of law principles.
14.2 Arbitration
Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except where prohibited by law.
14.3 Class Action Waiver
You agree to resolve disputes individually and waive any right to participate in class actions.
15. General Provisions
15.1 Entire Agreement
These Terms constitute the entire agreement between you and Agents2Automate regarding our services.
15.2 Amendments
We may modify these Terms at any time. Continued use after changes constitutes acceptance.
15.3 Severability
If any provision is found unenforceable, the remaining provisions remain in effect.
15.4 No Waiver
Our failure to enforce any right or provision does not constitute a waiver.
15.5 Assignment
You may not assign these Terms without our written consent. We may assign these Terms without restriction.
15.6 Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control.
